1. Agreement and service scope
These terms are between you and North Star Intelligence LLC, a Utah limited liability company organized in 2026 and operating EchoCody AI. By using this website or voluntarily interacting with an EchoCody channel, you agree to these terms. Client configuration, deployment, support, fees, data roles, service levels, and deliverables are controlled only by the applicable signed agreement.
2. AI interaction disclosure
EchoCody may use automated AI agents and an authorized synthetic or cloned version of the founder’s voice. AI output may be incomplete or incorrect and must not be treated as professional advice or a guaranteed outcome. Where recording or transcription is enabled, required notice and consent controls must be followed.
3. Founder voice identity and protected assets
The founder’s name, voice identity, source recordings, authorized voice clone, and associated performance characteristics are protected owner assets. EchoCody prompts, knowledge structures, workflow logic, automation rules, analytics methods, designs, documentation, software, and North Star Intelligence materials are also protected. No license, sublicense, relicense, sale, assignment, ownership transfer, training right, model-extraction right, or derivative-use right is granted by website access, subscription, payment, demonstration, or service use. Any narrowly defined right must appear expressly in a signed agreement.
4. Signed-agreement access only
Restricted systems are provided as controlled services under a signed agreement, not as transferred intellectual property. Clients may not copy or retain protected components after access ends except where the signed agreement expressly permits it. Customer data ownership and permitted exports are governed separately and are not converted into EchoCody intellectual property.
5. Prohibited conduct
You may not reverse engineer, scrape, probe, decompile, bypass access controls, extract prompts or models, clone or sample a protected voice, create competing training data, misrepresent AI as a human, remove disclosures, introduce malicious instructions, overload the service, access another tenant, use the service unlawfully, or help another person do so. Security research requires prior written authorization and a defined scope.
6. Client compliance duties
Each client is responsible for lawful contact lists, consent records, campaign purpose, calling and messaging windows, recording notices, DNC and opt-out suppression, required business identification, claims approval, user permissions, and professional-industry obligations. EchoCody may suspend automation when certification, consent, or safety evidence is incomplete.
7. Communications
Calls, texts, and emails are subject to applicable law and client-approved workflows. If you explicitly opt in to SMS, you agree to receive recurring marketing and appointment-related messages from EchoCody AI at the number provided. Consent is not a condition of purchase. Message frequency varies, and message and data rates may apply. Reply STOP to opt out or HELP for help. A STOP request suppresses further non-required SMS unless you later provide a new lawful opt-in. Do not use the service for emergencies. Human escalation remains available where configured, but continuous availability is not promised.
8. Third-party services
The service may depend on third-party CRM, AI, telephony, hosting, calendar, analytics, messaging, and payment platforms. Their terms, availability, and data practices may apply. EchoCody is not responsible for a third party’s independent acts outside EchoCody’s reasonable control.
9. Payments and saved payment methods
Payments must be completed through the approved payment processor’s hosted checkout, payment link, invoice page, or customer billing portal. Do not give card information to an AI voice agent or send it through calls, recordings, voicemail, transcripts, SMS, email, chat, CRM notes, support tickets, or ordinary forms. Where a payment method is saved for recurring service, installments, usage, overages, or authorized top-ups, the processor—not EchoCody—vaults the reusable credential. EchoCody may retain the processor’s customer and payment-method references and limited display metadata. The signed agreement and checkout authorization control permitted amounts, timing, frequency, cancellation, refunds, and off-session charges.
10. Results are not promised
Appointments, conversions, revenue, savings, rankings, response rates, and other outcomes are not promised. Dashboards distinguish verified actuals, projections, and missing evidence. Business decisions remain the responsibility of the authorized human owner.
11. Disclaimers and liability
To the maximum extent permitted by law, public website content is provided “as is” without warranties of merchantability, fitness, noninfringement, uninterrupted operation, error-free output, or absolute security. Liability for contracted services is governed by the signed agreement. Nothing here limits liability that cannot legally be limited.
12. Confidentiality and NDA
Access to nonpublic demos, owner dashboards, source materials, system architecture, voice assets, prompts, knowledge bases, training data, client data, pricing logic, or performance evidence may require an executed NDA before disclosure. Public contact or a booking does not create confidentiality by itself.
13. Suspension, revocation, and termination
EchoCody may suspend, revoke, restrict, or end access when a signed agreement ends; payment is overdue; certification expires; a user breaches applicable terms; protected systems or voice assets are copied or probed; credentials are misused; unlawful, deceptive, unsafe, abusive, or noncompliant activity is suspected; a security or privacy risk exists; a provider dependency ends; or continued access may harm EchoCody, a client, a prospect, or another person. Urgent-risk suspension may be immediate. Any notice, cure period, refund, data-return, or transition right stated in the signed agreement will control over this public term.
14. Law and changes
These terms are governed by Utah law, without regard to conflict-of-law rules, subject to any controlling signed agreement. We may update the terms by posting a revised effective date. Contact echocodyai@gmail.com with questions.
